Terms of Service

1. Preamble

These Terms of Service ("Terms") govern your use of the Territorium platform operated by Territorium Inmobiliario S.L. ("Territorium", "we", "us"), a company incorporated in Spain and registered with the Barcelona Commercial Registry under CIF B90123456, with registered office at Passeig de Gràcia 89, 4-2, 08008 Barcelona, Spain. The platform is available at territorium.eu (the "Service"). By creating an account, accessing the Service, or entering into any transaction through the Service, you accept these Terms in full.

2. Definitions

  • Tenant: a natural person seeking to rent or renting a Property through the Service.
  • Landlord: a natural or legal person offering a Property for rent through the Service, whether Territorium's own portfolio or a Verified Partner.
  • Verified Partner: a Landlord that has completed our due-diligence review (identity, title, bank account, tax residence, on-the-ground photos, signature specimen) and is authorised to publish Properties.
  • Property: a residential dwelling published on the Service for long-term rent (minimum lease term as specified per listing).
  • Contract: the electronically signed long-term residential lease agreement executed between a Tenant and a Landlord through the Service.
  • Platform Fee: the amount payable by the Landlord to Territorium for use of the Service, as disclosed on the Landlord onboarding surface.

3. Scope of the Service

The Service facilitates the listing, application, contract negotiation, electronic signature and manual bank-transfer settlement of long-term residential rentals across the European Union, the European Economic Area, the United Kingdom and Switzerland. The Service does not operate in Romania (excluded market by middleware-level block). The Service is a marketplace + workflow tool; it is not an escrow agent, a payment institution, or a party to any rental Contract.

4. Eligibility + account

Tenants must be at least 18 years old and legally able to enter into a residential lease in the jurisdiction of the Property. Landlords must complete our verification (see §5) and hold, or be authorised to act for a holder of, valid title or a rental management mandate over the Property. We may suspend or terminate an account that provides false information, misuses the Service, or fails verification. [COUNSEL] — confirm age threshold per DE (§ 2 BGB), NL, PT.

5. Verification of Landlords

Every Landlord clears six verifications before their first listing goes live: legal identity + proof of address; property title (land-registry read or rental-management mandate); bank account in the verified legal name; tax residence certificate; on-the-ground property photos by a Territorium team member or verified local photographer; canvas signature specimen. These are the anti-fraud checks — they do not constitute a guarantee of the Property's condition, the Landlord's future conduct, or the accuracy of the listing copy after publication. 6. Applications + Contracts

A Tenant applies for a Property by submitting the application intake form + any documents the Landlord requires. A Landlord accepts an application by issuing a Contract via the Service. Contracts are executed by e-signature: the Tenant reads the Contract to end, ticks three consent boxes, signs on a canvas capturing stroke count + duration + document hash (SHA-256). The signed Contract is delivered as a PDF with an audit trail to both parties. Electronic signatures shipped by the Service qualify as simple electronic signatures under Regulation (EU) 910/2014 ("eIDAS") except where the Contract explicitly calls for a qualified electronic signature (QES) — in which case a QES flow is offered through an accredited trust service provider.[COUNSEL] — confirm eIDAS threshold + QES trigger conditions.

7. Platform Fee + payments

The Landlord pays the Platform Fee as disclosed on the partner onboarding surface. The Tenant does not pay any fee to Territorium — the Tenant's payment obligations are limited to rent + deposit + any charges expressly listed in the Contract. All monetary flows between Tenant and Landlord run over SEPA / domestic bank transfer; Territorium's role is reconciliation + audit trail, not settlement. 8. Cool-off + termination

Consumer cool-off periods per Directive 2011/83/EU apply where mandated; some jurisdictions exclude residential leases from the standard 14-day withdrawal right. Termination for material breach follows the notice period in the Contract (30 days written notice unless the Contract specifies otherwise).[COUNSEL] — jurisdiction table: LAU (ES), BGB § 573 (DE), ABGB § 30 (AT), NL BW 7:271, UK Housing Act 1988 s. 21 successor.

9. Reviews

After the Contract ends, both Tenant and Landlord may leave a review. Reviews are published blind — neither party sees the other's review before both are submitted, or fourteen days have elapsed from the invitation, whichever comes first. Reviews that are defamatory, illegal, or gratuitous personal attacks are removed on report.

10. Prohibited use

You may not use the Service to: publish a Property you don't have authority to rent; misrepresent a Property; harass, defame, or discriminate against any party; automate the Service (scrapers, bots) without prior written permission; or use the Service in violation of applicable law. We may suspend or terminate accounts that breach this section.

11. Limitation of liability

To the fullest extent permitted by law, Territorium's aggregate liability to any user in any twelve-month period is capped at the greater of €500 or the Platform Fees paid by that user in the preceding twelve months. We do not exclude liability for gross negligence, wilful misconduct, or personal injury.[COUNSEL] — confirm the cap against unfair-terms directives; DE + AT courts strike caps disproportionate to the counterparty's exposure.

12. Data protection

Our processing of your personal data is governed by our Privacy Policy. By using the Service you acknowledge you have read the Privacy Policy.

13. Governing law + jurisdiction

These Terms are governed by the laws of Spain, without regard to conflict-of-law rules. Consumer users retain the protections of their local mandatory law. Disputes are heard by the courts of Barcelona, without prejudice to the consumer's right to bring proceedings in the courts of their habitual residence. 14. Changes to these Terms

We may amend these Terms from time to time. Material amendments are notified by email + on-site banner at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
